Terms of Service

1. Introduction
These Terms of Service (“Terms”) govern your use of ExitLeads (the “Service”), operated by Exit Leads (“we”, “us”, “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
The Service is intended for business and professional use only. By using it, you confirm you are acting in the course of a business or profession and are at least 18 years old.
2. The Service
ExitLeads provides a searchable database of UK companies, scored and enriched to help users identify potential business-acquisition targets. The Service draws on public data from Companies House and other sources. Access to full lead details is provided on a credit basis, through subscriptions and one-time credit purchases.
3. Accounts
You are responsible for keeping your account credentials secure and for all activity under your account. You must provide accurate information when registering and keep it up to date. We may suspend or terminate accounts that breach these Terms.
4. Credits, subscriptions and payments
Credits. Access to full lead details consumes credits. One credit unlocks one lead. Once a lead is unlocked, it remains available in your account.
Subscriptions. Subscription plans provide a monthly allowance of credits. Subscription credits reset at the start of each billing period and do not roll over to the next period. Subscriptions renew automatically each month until cancelled.
Top-ups. One-time credit packs are added to your balance and are available to all users.
Payment. Payments are processed by Stripe. By subscribing or purchasing credits you authorise us (via Stripe) to charge your chosen payment method. Prices are shown on our pricing page and may change; changes will not affect the current paid period.
Cancellation. You may cancel your subscription at any time via the customer portal. Cancellation takes effect at the end of the current billing period; you retain access until then. We do not provide pro-rata refunds for partial periods except where required by law.
Refunds. Credits and subscription fees are non-refundable except where required by law. In particular, credits already used to unlock leads cannot be refunded.
5. Data accuracy — important
The information provided through the Service is compiled from third-party sources, principally Companies House, and from automated enrichment processes. While we work to keep it useful and reasonably current:
- We do not warrant that any information is accurate, complete, current, or fit for any particular purpose.
- Company details, financial figures, contact information, scores, and signals are indicative only and may be out of date or incorrect.
- Our lead scores and “signals” (including any indication that a business may be a potential acquisition target) are automated estimates, not statements of fact, advice, or any representation about a company or its owners' actual intentions.
You are responsible for independently verifying any information before relying on it, and for conducting your own due diligence before making any business or financial decision. The Service is an intelligence and research tool, not advice.
6. No professional advice
Nothing in the Service constitutes legal, financial, investment, tax, or professional advice. You should obtain appropriate professional advice before pursuing any acquisition or making any decision based on information from the Service.
7. Acceptable use
You agree not to:
- use the Service or any data from it for any unlawful purpose, or in breach of data protection, privacy, anti-spam, or marketing laws;
- use contact information obtained through the Service to send unsolicited communications in breach of applicable law (including the UK GDPR and PECR);
- harass, defraud, or harm any individual or business using information from the Service;
- scrape, copy, resell, redistribute, or create a competing database from the Service or its data;
- share your account, or attempt to circumvent credit limits, paywalls, or access controls;
- attempt to gain unauthorised access to, disrupt, or reverse-engineer the Service.
You are solely responsible for ensuring your own use of any data obtained through the Service complies with all applicable laws, including how you contact or process information about individuals.
8. Intellectual property
The Service, including its software, design, scoring models, and the compiled and enriched database, is our property or licensed to us, and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to use the Service and the leads you unlock for your own internal business purposes. You may not resell or redistribute the data.
9. Availability
We aim to keep the Service available but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features at any time. We are not liable for any unavailability.
10. Limitation of liability
Nothing in these Terms excludes liability that cannot be excluded by law (such as for death or personal injury caused by negligence, or fraud).
Subject to that:
- The Service and all data are provided “as is” and “as available”, without warranties of any kind, express or implied.
- We are not liable for any indirect, incidental, or consequential loss, or for any loss of profit, revenue, business, opportunity, or data, arising from your use of the Service or reliance on its information.
- Our total liability to you for any claim arising out of or in connection with the Service shall not exceed the amount you paid us in the three months preceding the event giving rise to the claim.
Because the Service relies on third-party data that we do not control, we are not liable for losses arising from inaccuracies in that data.
11. Indemnity
You agree to indemnify us against any claims, losses, or costs arising from your misuse of the Service or data obtained through it, including any breach of data protection or marketing laws in how you use contact information.
12. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms. On termination, your right to use the Service ends; provisions that by their nature should survive (including sections 5, 7, 8, 10, and 11) will continue.
13. Changes to these Terms
We may update these Terms from time to time. We will post the updated version and update the “last updated” date. Continued use after changes means you accept the updated Terms.
14. Governing law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
